BACKGROUND
A. The Parties collaborated on a concept, brand, or materials known as “{{Mark}}”.
B. The Assignee intends to own and register the trade mark {{Mark}} and associated intellectual property.
C. The Assignor agrees to consent and assign all rights to the Assignee.
1. The Assignor irrevocably consents to the Assignee applying for, owning, and maintaining UK or overseas trade mark registrations for “{{Mark}}” in the Assignee’s name.
2. The Assignor assigns to the Assignee all rights, title, and interest (including goodwill) in “{{Mark}}” and any associated intellectual property, free from encumbrances, for all countries and for the full term of such rights.
3. The Assignor waives all moral rights under the Copyright, Designs and Patents Act 1988 in any related works.
4. The Assignor agrees not to oppose, object to, or assist others to challenge any application or registration for “{{Mark}}” owned by the Assignee.
5. The Assignor shall execute any additional documents reasonably requested to perfect or record this assignment.
6. The Assignor warrants that:
(a) They have full right and authority to enter into this Deed;
(b) The rights assigned are free of any third-party claims; and
(c) The assignment does not infringe any third-party rights.
7. The Assignor indemnifies the Assignee for losses arising from any breach of these warranties.
8. This Deed is executed as a deed and governed by the laws of England and Wales.
